Effective Date: July 20, 2026
This Service Agreement (“Agreement”) is entered into between Win City Bins LLC, a Nevada limited liability company (“Win City Bins,” “we,” “us,” or “our”), and the customer identified in the applicable signup form, order, proposal, or account record (“Customer,” “you,” or “your”).
This Agreement governs trash and recycling bin valet and related services provided at the service property identified by Customer (“Service Property”).
By signing this Agreement, selecting an acceptance checkbox, submitting an order that references this Agreement, or authorizing Win City Bins to begin paid service, Customer agrees to this Agreement and the incorporated Terms of Service and Privacy Policy.
1. Customer and Service Information
The following information is established through the signup form, order confirmation, or written proposal:
Customer name: As submitted during enrollment
Service Property: As submitted during enrollment
Telephone and email: As submitted during enrollment
Property type: Residential, vacation rental, multi-unit, HOA, or other
Selected plan: Starter, Premium, Pro, Enterprise, or custom service
Regular collection day: As submitted or subsequently confirmed
Number of bins: As submitted or subsequently confirmed
Service price: As disclosed and accepted before paid service begins
Billing frequency: Monthly unless otherwise stated in writing
Service start date: As confirmed by Win City Bins
Customer must promptly notify Win City Bins if any of this information changes.
2. Services
Depending on the selected plan or written proposal, Win City Bins will provide some or all of the following services:
Locate eligible trash and recycling bins at the Service Property.
Move those bins to the curb or other authorized collection point before the scheduled collection.
Return the bins to their designated storage location after collection.
Provide timestamped photographs or other confirmation of service.
Follow reasonable gate, lockbox, callbox, HOA, and access instructions supplied by Customer.
Handle qualifying overflow bags, flattened boxes, or miscellaneous items within the limits of the selected plan.
Perform limited cleanup or organization of the immediate bin area when included in the selected plan.
Perform additional hauling or related work separately approved by Customer.
Win City Bins provides bin-placement and related property services. We are not the municipality or waste hauler responsible for emptying the bins. We do not control whether a third-party collector completes collection.
3. Plan Limits
The services currently advertised for each standard plan are:
Starter Plan
Up to two bins per week;
Weekly curbside placement; and
Return service after collection.
Premium Plan
Up to three bins per week;
Weekly curbside placement;
Return service after collection;
Photo verification when available;
Priority support; and
Up to four qualifying overflow bags or flattened boxes per month.
Pro Plan
Up to four bins per week;
Weekly curbside placement;
Return service after collection;
Gate and code handling;
Photo verification when available;
Dedicated route support;
Limited cleanup of the immediate overflow or bin area;
Up to six qualifying bags or flattened boxes per service visit;
Small qualifying miscellaneous items around the bin area;
Up to two overflow cleanups per month; and
Additional hauling when separately approved for an additional charge.
Enterprise or Custom Service
Services, properties, pricing, bin limits, overflow allowances, routes, and account-management terms will be stated in a separate proposal or order confirmation.
If a proposal or order confirmation conflicts with this Agreement, the specifically negotiated terms of the proposal or order confirmation control.
4. Free Trial
An eligible new Customer may receive the free-trial period advertised during signup, currently two weeks.
Unless otherwise disclosed:
No payment card is required to begin the free trial.
A Customer or Service Property may receive only one free trial.
The trial is subject to service-area, access, safety, and route availability.
The trial does not automatically convert into a paid subscription without Customer’s affirmative agreement to the applicable price and billing terms.
Additional hauling, excess overflow, or work outside ordinary trial service is not included unless separately approved.
Win City Bins may decline or discontinue a trial if the Service Property is unsafe, inaccessible, outside the service area, unsuitable for regular service, or associated with misuse of the offer.
5. Subscription and Payment
After the free trial, service will continue only if Customer accepts a paid plan or proposal.
For recurring service, Customer authorizes Win City Bins and its payment processor to charge the accepted service price, applicable taxes, and separately authorized fees to Customer’s selected payment method at the disclosed billing frequency.
Customer agrees to:
Maintain an accurate billing address and valid payment method;
Pay all undisputed charges when due; and
Notify Win City Bins promptly of a suspected billing error.
If a payment is declined or remains unpaid, Win City Bins may notify Customer, retry the payment where permitted, suspend service, or terminate the subscription.
No additional hauling or out-of-plan charge will be imposed without Customer’s approval, except when an accepted custom proposal expressly provides a predetermined charge or rate.
Win City Bins may change future subscription prices by providing advance notice. The new price will apply prospectively as stated in the notice and subject to applicable law.
6. Cancellation
There is no fixed-term commitment for a standard monthly plan. Customer may cancel recurring service at any time by contacting:
support@wincitybins.com for service cancellation; or
billing@wincitybins.com for billing assistance.
Unless different terms were disclosed and accepted at enrollment:
Cancellation prevents future subscription renewals after it is processed.
Completed service is nonrefundable.
A partially used billing period is not prorated, except when required by law or approved by Win City Bins.
Service may continue through the end of the current paid billing period.
Customer remains responsible for authorized charges incurred before cancellation.
Customer should retain the cancellation confirmation.
Win City Bins will not impose a cancellation fee for a standard monthly plan unless a separately negotiated agreement clearly provides otherwise.
7. Collection Schedule
Customer must provide an accurate regular collection day and notify Win City Bins of any special schedule known to Customer.
Win City Bins may also rely on schedules published or provided by municipalities, HOAs, property managers, and waste haulers. Those schedules may change because of holidays, emergencies, weather, route changes, equipment failure, contamination, or other circumstances.
We will use commercially reasonable efforts to adjust service when we receive notice of a schedule change. We do not warrant the accuracy of information supplied by a municipality, hauler, HOA, Customer, or other third party.
8. Placement and Return Timing
Win City Bins ordinarily places bins at the collection point before the scheduled collection and returns them after the hauler has had a reasonable opportunity to complete collection.
Actual timing may vary by route, municipal schedule, traffic, weather, access, staffing, safety conditions, and collection delays.
Customer acknowledges that:
A return may occur later than expected when collection is delayed.
We may leave a bin at the collection point for a reasonable period if it has not been emptied.
We may return an unemptied bin when leaving it out would create an HOA, traffic, weather, safety, or property concern.
An additional visit resulting from a missed or delayed third-party collection is not included unless Win City Bins agrees otherwise.
9. Customer Responsibilities
Customer agrees to:
Own the Service Property or have authority from the owner to order service.
Authorize Win City Bins personnel and contractors to enter exterior property areas reasonably necessary to perform service.
Maintain active municipal or private waste-collection service.
Identify the correct bins and storage location.
Provide accurate collection-day and access information.
Place waste and recycling in the correct containers.
Comply with applicable weight, lid, content, placement, and contamination rules.
Avoid overloading bins.
Keep the path between the bins and collection point reasonably clear and safe.
Provide adequate lighting when reasonably necessary for evening or early-morning access.
Secure pets and disclose dogs, animals, surveillance equipment, construction, or other material conditions.
Disclose steep, uneven, loose, wet, damaged, fragile, or hazardous surfaces.
Notify Win City Bins of broken wheels, lids, handles, axles, or unstable bins.
Obtain any required owner, tenant, HOA, municipal, or third-party authorization.
Promptly report suspected missed service or damage.
Customer is responsible for fines, citations, rejected waste, contamination fees, or similar costs resulting from bin contents, inaccurate instructions, Customer’s lack of authority, or Customer’s violation of applicable rules.
10. Property Access
Customer authorizes Win City Bins to use access information supplied for the Service Property, including gate codes, callbox codes, lockbox instructions, and bin-location directions.
Customer represents that they are legally authorized to provide this information.
Win City Bins may provide access information to personnel, contractors, and technology providers with a reasonable need to provide or administer service. Access information will otherwise be handled in accordance with the Privacy Policy.
Customer must notify Win City Bins immediately if:
An access code changes;
Permission to access the property is revoked;
A tenant or occupant changes;
A new pet or hazard affects access; or
The access instructions should no longer be used.
Unless separately agreed in writing, this authorization covers exterior areas only and does not authorize entry into an occupied residence.
11. Inaccessible or Unsafe Properties
Win City Bins may skip, delay, modify, or reschedule service if:
A gate code, callbox, lock, or access device does not work;
A locked gate, vehicle, construction area, pet, person, or object blocks access;
A path is too steep, narrow, unstable, dark, wet, obstructed, or otherwise unsafe;
Bins are excessively heavy, damaged, missing, or inaccessible;
Entry would reasonably appear unauthorized or unlawful;
Severe weather or another emergency creates unsafe conditions; or
Performing service would risk injury or unreasonable property damage.
A service not completed because of these circumstances will not constitute a breach by Win City Bins. Refunds or service credits are discretionary unless applicable law or a separate written agreement requires otherwise.
12. Overflow Items
Overflow service applies only to qualifying items within the amount and frequency included in the selected plan.
Overflow bags must be closed, reasonably capable of being lifted by one person, and acceptable to the applicable waste hauler. Boxes must be empty and flattened unless Win City Bins approves otherwise.
Customer must not present:
Hazardous, explosive, flammable, corrosive, radioactive, biological, or medical waste;
Fuel, oil, solvent, paint, chemicals, pesticides, or propane tanks;
Batteries or pressurized containers;
Hot ashes or burning material;
Needles, exposed sharp objects, or broken glass;
Human or animal remains;
Concrete, rocks, soil, or unusually heavy construction debris;
Large appliances, furniture, mattresses, tires, or bulky items;
Electronic waste requiring special handling;
Illegal substances or contraband; or
Material prohibited by law, the municipality, or the waste hauler.
Win City Bins may refuse items that are unsafe, excessive, unusually heavy, noncompliant, likely to damage property, or outside the selected plan.
Additional hauling must be separately described, priced, and approved.
13. Service Photographs
Customer authorizes Win City Bins to create and retain photographs reasonably necessary to:
Confirm bin placement and return;
Document completed service;
Record overflow items;
Document an obstacle, unsafe condition, pre-existing damage, or service problem; and
Investigate a complaint, damage report, or insurance claim.
Photographs may show bins, gates, curbs, driveways, yards, building exteriors, and nearby property features.
Win City Bins will not intentionally use a photograph that identifies Customer or the Service Property in advertising without separate permission. Operational photographs may be shared with an authorized account manager, property manager, Customer representative, insurer, attorney, or service provider when reasonably necessary.
14. Care of Bins and Property
Win City Bins will use reasonable care when moving bins and accessing the Service Property.
Customer acknowledges that ordinary bin movement may involve contact with pavement, curbs, gates, gravel, walls, landscaping, and other exterior surfaces. Bins also experience ordinary wear from their intended use and municipal collection.
Win City Bins is not responsible for:
Ordinary wear and tear;
Pre-existing damage;
Latent defects;
Damage caused by an overloaded, deteriorated, or improperly maintained bin;
Damage resulting from an undisclosed property condition;
Damage caused by a municipal or private waste hauler;
Damage caused by weather, animals, vandals, vehicles, or other third parties; or
Loss or movement of items improperly left near the bins.
Customer should report suspected damage promptly and provide available photographs, video, estimates, and other information reasonably needed to investigate.
15. Missed Service
Customer should report a suspected missed service as soon as reasonably possible by contacting support@wincitybins.com.
Win City Bins may review route records, service photographs, messages, access logs, and other information to investigate.
If Win City Bins determines that it failed to provide an included service for reasons within its reasonable control, the ordinary remedy will be, at our option:
A return visit where practical;
A reasonable account credit; or
A refund of the portion of the charge reasonably attributable to the missed service.
This section does not apply when collection was missed by the municipality or waste hauler, when the property was inaccessible or unsafe, or when Customer failed to satisfy this Agreement.
16. Service Interruptions
Win City Bins is not responsible for delay or failure caused by circumstances beyond its reasonable control, including:
Severe weather or natural disaster;
Fire, flood, smoke, extreme heat, or emergency conditions;
Government restrictions;
Municipal or waste-hauler schedule changes;
Traffic closures;
Vehicle or equipment failure;
Utility, communications, or technology outages;
Illness or unexpected staffing interruption;
Civil disturbance; or
An unsafe or unlawful condition.
We will use commercially reasonable efforts to notify affected Customers and resume service when practical.
Marketing statements such as “rain or shine,” “never miss a pickup,” and similar language describe our service objective and do not require performance under unsafe, unlawful, or impossible conditions.
17. Communications
Customer consents to receive service-related telephone calls, emails, and text messages concerning:
Trial setup;
Scheduling and access;
Service completion;
Timestamped photographs;
Municipal schedule changes;
Billing and payment;
Cancellation; and
Customer support.
Consent to promotional text messages is not a condition of purchasing service. Customer may reply STOP to opt out of promotional texts. Standard message and data rates may apply.
Customer represents that the telephone number and email address provided belong to Customer or that Customer has permission to use them for the service.
18. Personnel and Contractors
Win City Bins may use employees or independent contractors to perform services.
Customer must not:
Direct personnel to perform unsafe work;
Request entry into unauthorized areas;
Request transportation or handling of prohibited material;
Harass, threaten, discriminate against, or interfere with personnel; or
Attempt to circumvent Win City Bins by directly hiring assigned personnel for substantially similar work during active service without written authorization.
Win City Bins may immediately suspend service when reasonably necessary to protect its personnel.
19. Insurance
Win City Bins will maintain business insurance that it considers commercially appropriate for its operations and as required by applicable law.
A statement that Win City Bins is “fully insured” does not expand insurance coverage, guarantee that a particular claim is covered, or waive any limitation or defense under this Agreement.
20. Disclaimer
Win City Bins does not guarantee that:
A municipality or private hauler will empty a bin;
A published collection schedule will be accurate;
Every HOA fine or collection problem will be prevented;
A service photograph or notification will be delivered without delay;
Service will be available during unsafe conditions; or
Every property will remain eligible for service.
No disclaimer in this Agreement eliminates a warranty or consumer right that cannot legally be waived.
21. Limitation of Liability
To the fullest extent permitted by law, Win City Bins will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost rental revenue, loss of use, reputational damage, or the cost of replacement service.
Except for liability that cannot legally be limited, Win City Bins’ total liability arising from service at a particular property will not exceed the greater of:
The amount Customer paid Win City Bins for that property during the three months preceding the event giving rise to the claim; or
One hundred dollars.
This limitation does not apply to fraud, willful misconduct, or gross negligence to the extent liability for that conduct cannot lawfully be limited.
22. Indemnification
To the extent permitted by law, Customer will defend, indemnify, and hold harmless Win City Bins and its owners, personnel, and contractors from third-party claims, fines, liabilities, losses, and reasonable expenses arising from:
Customer’s lack of authority to order service or grant access;
False, incomplete, or inaccurate instructions;
The contents, loading, maintenance, or condition of a bin;
An unsafe condition Customer knew or reasonably should have known about but did not disclose;
Customer’s violation of law, HOA rules, waste-hauler requirements, or this Agreement; or
Customer’s infringement of another person’s property, privacy, or contractual rights.
Customer is not required to indemnify Win City Bins for a claim caused solely by Win City Bins’ negligence or misconduct when such indemnification is prohibited by law.
23. Suspension or Termination by Win City Bins
Win City Bins may suspend or terminate service for:
Nonpayment;
Repeated access failures;
Unsafe property conditions;
Threats, harassment, or abusive conduct;
Fraud or misuse;
Repeated presentation of prohibited items;
Material violation of this Agreement; or
Conditions that make continued service unlawful or commercially impracticable.
When reasonable, Win City Bins will provide notice and an opportunity to correct the issue. Immediate suspension is permitted when reasonably necessary to protect people, property, systems, or legal rights.
Customer remains responsible for authorized charges incurred before termination.
24. Privacy
Win City Bins will handle personal information, access instructions, service photographs, communications, and website information as described in its Privacy Policy.
The Privacy Policy is incorporated into this Agreement by reference and is available through the legal section of wincitybins.com.
25. Dispute Resolution and Governing Law
This Agreement is governed by Nevada law, without regard to conflict-of-law principles.
Before filing a lawsuit, Customer and Win City Bins agree to make a good-faith effort to resolve the dispute informally. A written description of the dispute and requested resolution should be sent to support@wincitybins.com.
Unless applicable law requires otherwise, a legal proceeding must be brought in a state or federal court with jurisdiction in Clark County, Nevada. Each party consents to jurisdiction and venue in those courts.
Either party may bring an eligible claim in small-claims court or seek emergency injunctive relief.
26. Electronic Records and Signatures
Customer agrees that:
This Agreement may be presented and accepted electronically;
An electronic checkbox, button, signature, or other affirmative acceptance has the same effect as a handwritten signature;
Electronic records and notices may satisfy legal writing requirements; and
Customer is responsible for retaining a copy of the accepted Agreement and order confirmation.
Win City Bins should record the version accepted, acceptance date and time, Customer identifier, Service Property, selected plan, disclosed price, and acceptance method.
27. Changes to This Agreement
Win City Bins may update this Agreement prospectively to reflect changes in services, technology, or legal obligations.
Material changes affecting an active paid subscription will be communicated as required by law. A change in price or material recurring-service terms will not be applied retroactively.
A separately signed amendment or accepted proposal may modify this Agreement for a specific Customer.
28. General Provisions
This Agreement, the applicable order or proposal, the Terms of Service, and the Privacy Policy constitute the agreement between Customer and Win City Bins concerning the service.
If documents conflict, the following order controls:
A specifically negotiated and signed proposal or amendment;
The applicable order confirmation;
This Service Agreement;
The Terms of Service; and
The Privacy Policy, for matters other than privacy.
If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver.
Customer may not assign this Agreement without written consent. Win City Bins may assign it in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the business.
Sections that reasonably should survive cancellation—including payment obligations, liability limitations, indemnification, dispute provisions, and recordkeeping provisions—will survive.
